[LUAU] Statement of the HOSEF Board of Directors

First, my apologies to you, dear reader, if you do not want to follow
any of the discussion of the Hawaii Open Source Education Foundation and
its current turmoil.  If this is the case, please read no further.

By way of explanation to interested readers, Scott Belford has
apparently closed the HOSEF Managers Discussion List to new postings as
I discovered when trying to post the following statement there a few
minutes ago.  I received an automated response from Mailman saying
simply "The HOSEF-managers list is now closed".  This is the only forum
left for the membership of HOSEF to discuss the future of HOSEF.  Your
forbearance is appreciated.

The Board of Directors of HOSEF is committed to continuing the original
mission of HOSEF and the continued existence of the Corporation if the
membership so wishes.  It is not within the authority of the recently
resigned Executive Director, R. Scott Belford, to take steps to dissolve
the Corporation or to dispose of the assets of the Corporation.
According to Hawaii State Law governing Non-Profit Corporations, HRS
414-D, these actions can only be taken after approval of the membership
at a meeting called for this purpose or at a regularly scheduled
membership meeting, both requiring that proper notice be given.

Accordingly, the Board of Directors of HOSEF has unanimously agreed
today, 11 April 2008, that R. Scott Belford is directed to cease any and
all actions to dissolve the Corporation or dispose of its assets unless
and until the HOSEF membership votes, at a properly constituted meeting,
to begin dissolution of the Corporation.
